General Terms

1. Parties & studio scope

These General Terms govern advisory and workshop engagements commissioned by your organization from Neurozone, operating digitally from our Busan coordination desk with correspondence sorting via Daegu 61298 when postal routing applies. Services remain strictly consultative—implementation labor stays with your appointed engineers unless a separate written statement of work explicitly expands scope.

2. Acceptance & authorized contacts

Engagements activate once both parties countersign a proposal referencing these terms. You designate operational sponsors authorized to request materially scoped changes. Verbal stretch requests only bind Neurozone once reflected in writing.

3. Deliverables & intellectual property

Artifacts—including diagrams, scripts, narrative decks, and facilitation recordings tailored for your teams—transfer under a non-exclusive license for internal modernization efforts. Neurozone retains rights to anonymized methodologies aggregated across clients unless confidentiality agreements forbid reuse.

4. Client responsibilities

You furnish timely access to repositories (under appropriate NDAs), telemetry exports, subject matter experts, and incident narratives required for meaningful audits. Delayed access extends timelines proportionally.

5. Fees, invoicing, taxes

Quoted Korean Won figures exclude VAT unless explicitly stated. Invoices align with milestone schedules referenced in proposals. Late payments may pause subsequent ceremonies until balances settle.

6. Liability boundaries

Except where prohibited under Republic of Korea law, Neurozone liability caps at the fees paid for the impacted sprint window. We are not liable for consequential outages arising from implementation choices clients pursue independently.

7. Governing law & dispute escalation

These terms interpret under the laws of the Republic of Korea without regard to conflict-of-law rules. Parties undertake good-faith mediation in Busan prior to pursuing litigation in competent Korean courts.

8. Termination & survival

Either party may terminate with written notice when material breaches remain unresolved after thirty calendar days. Confidentiality, indemnities tied to pre-termination conduct, and accrued payment obligations survive closure.

9. Updates

Neurozone publishes revised terms with dated stamps. Continued procurement after publication constitutes acceptance unless clients negotiate superseding enterprise agreements.
